Terms of Service

These Terms of Service, together with the Bonterms Cloud Terms (Version 1.0) incorporated by reference, govern your use of OpsPuls. In the event of conflict, the Bonterms Cloud Terms control, except where these Terms expressly modify them.

1. Acceptance of Terms

By accessing or using OpsPuls, you ("Customer") agree to be bound by this Agreement with Aadhika Operations LLC ("Provider", "OpsPuls"). If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity. If you do not accept these terms, do not use the Service.

2. The Service

OpsPuls is an AI-powered restaurant invoice intelligence and operations platform. Core capabilities include: automated invoice extraction using the Anthropic Claude API, ingredient price intelligence and anomaly detection, and bank transaction reconciliation via Plaid (Growth plan only).

3. License Grant

Subject to this Agreement, OpsPuls grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during the Subscription Term solely for Customer's own internal business operations. No rights are granted except as expressly stated in this Agreement.

5. Subscription Plans & Free Trial

5.1 Plans

5.2 Free Trial

New customers receive a 30-day free trial with no credit card required. The trial provides full access to the selected plan. After 30 days, a paid subscription is required to continue. OpsPuls will provide notice before the trial ends. Trial data is retained for 30 days after trial expiration before deletion.

5.3 Founding Rate Lock

The first 10 customers who subscribe to OpsPuls are eligible for a founding rate lock. Founding customers' subscription rates will not increase for the life of their subscription, regardless of future pricing changes. This lock applies only to the plan tier active at the time of founding subscription.

6. Billing & Payment

6.1 Payment Processing

All payments are processed via Stripe. By subscribing, Customer authorizes OpsPuls to charge the payment method on file on a recurring basis at the applicable plan rate. Monthly subscriptions are billed on the same calendar day each month. Annual subscriptions are billed on the subscription anniversary date.

6.2 Cancellation

Customer may cancel at any time through the OpsPuls settings. Cancellation is effective at the end of the current billing period. No partial refunds are issued for unused time in the current period. Annual subscribers who cancel mid-year receive no refund unless required by applicable law.

6.3 Past-Due Accounts

Accounts with failed payments receive a 7-day grace period during which full access is maintained. If payment is not received within 7 days of the due date, access is suspended. If payment is not received within 90 days of subscription expiration, Customer data is scheduled for deletion per the Data Retention & Deletion Policy.

6.4 Taxes

All fees are exclusive of taxes. Customer is responsible for all applicable sales, use, GST, or similar taxes arising from their subscription, except for taxes based on OpsPuls's net income.

7. AI Processing Disclosure

OpsPuls uses Anthropic's Claude API to extract structured data from invoices and receipts uploaded by Customer. By using the Service, Customer authorizes this processing. OpsPuls's agreement with Anthropic prohibits the use of Customer Data to train Anthropic's AI models.

AI-generated outputs (extracted invoice data, anomaly flags, price alerts) are provided for informational purposes. Customer is responsible for independently reviewing and verifying all AI outputs before relying on them for business decisions.

8. Bank Data & Plaid (Growth Plan)

The Growth plan integrates with Plaid, Inc. to connect Customer bank accounts. OpsPuls does not store or have access to Customer's banking credentials. Plaid manages all credential handling and authentication.

Bank transaction data is retrieved by Plaid and transmitted to OpsPuls solely for the purpose of invoice reconciliation. Customer's use of the bank connection feature is also subject to Plaid's end-user privacy policy.

9. Data Ownership & Customer Data

Customer retains all ownership rights to Customer Data. OpsPuls accesses and uses Customer Data solely to provide, maintain, and improve the Service as described in this Agreement and the Privacy Policy. OpsPuls will not sell Customer Data or use it to market to Customer's end users.

10. Suspension

OpsPuls may suspend Customer's access to the Service upon a Suspension Event. A "Suspension Event" means:

Where practicable, OpsPuls will provide advance notice before suspension. Access is restored promptly once the Suspension Event is resolved.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OPSPULS'S TOTAL LIABILITY TO CUSTOMER FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY CUSTOMER IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) $500. THIS CAP DOES NOT APPLY TO: (I) EITHER PARTY'S INDEMNIFICATION OBLIGATIONS; (II) BREACHES OF CONFIDENTIALITY; OR (III) LIABILITIES THAT CANNOT BE LIMITED BY LAW.

NEITHER PARTY WILL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, EVEN IF INFORMED OF THEIR POSSIBILITY IN ADVANCE.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS." OPSPULS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. OPSPULS DOES NOT WARRANT THAT AI-EXTRACTED DATA WILL BE ACCURATE, COMPLETE, OR ERROR-FREE. CUSTOMER IS RESPONSIBLE FOR VERIFYING ALL OUTPUTS.

13. Term & Termination

This Agreement begins on the Effective Date and continues until all Subscription Terms expire or are terminated. Either party may terminate for material breach upon 30 days' written notice if the breach is not cured within that period. Upon termination, Customer's access ceases and data deletion proceeds per the Data Retention & Deletion Policy.

14. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts of Travis County, Texas. Each party consents to the exclusive jurisdiction of those courts.

16. Third-Party Integrations and Data Access

6.1 Authorization to Access Third-Party Systems

By connecting a third-party service to OpsPuls (including but not limited to Toast POS, Square, Clover, Plaid, DoorDash, and Uber Eats), you authorize Aadhika Operations LLC to access, retrieve, and store data from that service on your behalf, solely for the purpose of providing OpsPuls financial analytics and operational insights to you. This authorization operates in the same manner as authorizing a bookkeeper or accountant to access your business systems. You remain the owner of your data and we act as your agent in accessing it.

6.2 Your Responsibility for Credentials

You are responsible for ensuring you have the right to share any credentials, API keys, or access tokens you provide to OpsPuls. By providing credentials, you represent that you are authorized to grant OpsPuls access to the associated accounts and data.

6.3 How We Use Third-Party Data

Data accessed from third-party systems is used exclusively to provide your OpsPuls subscription services. We do not: sell your data to any third party; use your restaurant's data to train AI models; share your data with other OpsPuls customers; or use your data for any purpose beyond delivering your subscription.

6.4 Third-Party Terms

Your use of connected third-party services remains subject to those services' own terms. OpsPuls is not responsible for changes to third-party APIs, data availability, or access policies. If a third-party service revokes or limits access, OpsPuls will notify you promptly.

6.5 Revoking Access

You may disconnect any third-party integration at any time from your OpsPuls settings. Upon disconnection, we will cease syncing new data from that service. Existing data already synced will be retained for 30 days and then deleted unless you request earlier deletion.
